This Terms & Conditions document (“Agreement”, “Terms”) governs the use of the website www.logicsofts.com (“Website”) and all services offered by Logicsofts Webtech Private Limited (“Logicsofts”, “we”, “our”, “us”). By accessing or using our Website or services, you (“Client”, “you”) agree to be bound by these Terms.

2. Services Offered

We provide, including but not limited to, the following services:

  • Website Design & Development
  • SEO & Content Marketing Services
  • Business Consulting & Strategy
  • Hosting, Maintenance & Support Services
  • CRM Setup & Integration Services

Any additional or customised services will be governed by a separate Scope of Work (“SOW”), proposal, or written agreement, which shall form an integral part of this Agreement.

3. Engagement & Service Agreement

3.1 An engagement with Logicsofts is deemed to begin when:

  • You accept our proposal/SOW in writing (email is sufficient), and
  • We receive the agreed advance payment, and
  • We confirm acceptance of the project in writing.

3.2 All proposals, SOWs, email approvals and related documents are to be read together with these Terms.

3.3 In the event of any conflict between a specific SOW and these Terms, the SOW shall prevail for that specific project, to the extent of such inconsistency.

4. Payments & Billing

4.1 Payment Structure

  • Website Design & Development: 50% advance, 50% before final delivery and go‑live.
  • SEO & Digital Marketing Retainers: 100% payment in advance for each billing period (usually monthly).
  • Hosting, Maintenance, Support, CRM and similar services: 100% advance, unless otherwise agreed.

4.2 All prices are denominated in Indian Rupees (INR ₹) unless otherwise specified in writing.

4.3 Payments may be made via Razorpay, bank transfer, or other payment channels as communicated by Logicsofts. International clients may be provided alternative payment options on request.

4.4 Services will commence only after the applicable advance payment has been received and confirmed.

4.5 Currently, no late payment charges are levied; however, we reserve the right to:

  • Pause or stop work if invoices are overdue; and
  • Withhold delivery or access to work until dues are cleared.

5. Delivery Timelines

5.1 Any timelines mentioned in proposals, SOWs or communications are estimates only and not guaranteed.

5.2 Timelines depend upon timely cooperation from you, including content provision, approvals, access to systems, and other dependencies. Delays in such cooperation may extend delivery timelines.

5.3 Logicsofts will not be liable for delays caused by third‑party tools, services, hosting providers, domain registrars, email services, or force majeure events.

6. Scope Changes

6.1 Any requirement not expressly included in the agreed SOW/proposal shall be considered out of scope.

6.2 Out‑of‑scope requests will be treated as change requests and may:

  • Require a separate estimate, and
  • Be billed additionally, and
  • Affect project timelines.

6.3 Work on such additional scope will commence only after written approval and, where applicable, advance payment for the change request.

7. Cancellation

7.1 You may cancel a project within two (2) business days from the date of contract acceptance or initial payment, whichever is earlier, by sending a written request to info@logicsofts.com.

7.2 If cancellation is requested within the eligible window and work has not started, advances may be refunded as per our Refund & Cancellation Policy.

7.3 After two (2) business days, or once project work has commenced, payments become non‑refundable.

7.4 For SEO, hosting, support and other recurring services, cancellation will be effective for the next billing cycle unless stated otherwise in the SOW. Amounts already paid for the current cycle are non‑refundable.

8. Intellectual Property Rights

8.1 Upon receipt of full and final payment for a project, and subject to any third‑party licence restrictions, the final deliverables specifically created for you (such as website design, custom code, and approved content) will become your property.

8.2 Logicsofts retains ownership of:

  • All pre‑existing tools, frameworks, scripts, libraries and know‑how used in delivering the project; and
  • Any generic processes, methodologies or templates.

8.3 Unless otherwise agreed in writing, Logicsofts may display non‑confidential parts of the project in its portfolio, case studies, or marketing materials. If you do not wish your project to be showcased, you must inform us in writing.

9. Client Responsibilities

9.1 You agree to:

  • Provide accurate, lawful and non‑infringing content and information.
  • Ensure that you have rights, licences and permissions to use any content supplied to us.
  • Respond to queries, feedback requests and approvals in a reasonable time.

9.2 You are responsible for the content, claims, offers and representations made on your website, landing pages, marketing materials and campaigns.

9.3 Logicsofts will not be responsible for any legal, regulatory or compliance issues arising from the nature of your business, offerings, or content.

10. Confidentiality & Data Security

10.1 Both parties agree to keep confidential any non‑public information received from the other party and to use it solely for the purpose of performing obligations under this Agreement.

10.2 Logicsofts uses secure tools and follows reasonable industry practices to protect data. However, no system is completely immune to risks. You agree that Logicsofts shall not be liable for any damages caused by events beyond its reasonable control, including cyber‑attacks or third‑party breaches.

10.3 Payment processing is handled by Razorpay and/or other payment gateways, which are PCI‑DSS compliant. We do not store full card details on our servers.

11. Limitation of Liability

11.1 To the maximum extent permitted by law, Logicsofts’ total aggregate liability, whether in contract, tort (including negligence) or otherwise, arising out of or in connection with the provision of services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

11.2 Logicsofts shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profit, loss of business, loss of data, or reputational damage.

11.3 SEO and digital marketing results are influenced by multiple factors, including search engine algorithms, competition, website changes and external events. We do not guarantee specific rankings, traffic volumes, or revenue outcomes.

12. Force Majeure

Logicsofts shall not be liable for any delay or failure to perform its obligations if such delay or failure results from events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, labour disputes, pandemics, government restrictions, internet outages, or failure of third‑party service providers.

13. Dispute Resolution & Jurisdiction

13.1 In case of any dispute, the parties shall first attempt to resolve the matter amicably through good‑faith discussions.

13.2 If a resolution cannot be reached within thirty (30) days, the dispute may be referred to arbitration in accordance with applicable Indian law. The seat and venue of arbitration shall be New Delhi, India. The language of arbitration shall be English.

13.3 Subject to the above, the courts at New Delhi, India shall have exclusive jurisdiction over all disputes arising out of or in connection with this Agreement.

13.4 This Agreement shall be governed by and construed in accordance with the laws of India.

14. Modifications to Terms

Logicsofts reserves the right to update or modify these Terms at any time. The updated Terms will be posted on https://www.logicsofts.com. Your continued use of the Website or services after such changes constitutes your acceptance of the revised Terms.
